President's Message

Greetings from the Board of Directors of your Houston NIRI Chapter!  I hope everyone had a wonderful Spring Break; it’s hard to believe that Summer is almost here!  Many thanks to everyone who attended our January programming event on Shareholder Activism.  We had a great turnout, and we most definitely enjoyed hearing about Huntsman’s successful proxy campaign over Starboard and getting K&E’s perspective on the universal proxy.  Many thanks to Ivan Marcuse of Huntsman, Shaun Mathew of Kirkland & Ellis, and Jim Miller of Alliance Advisors for moderating the discussion panel.

As we move into Spring, we will have our final two programming events before we adjourn for the summer.  First, our NIRI in Your Neighborhood – Woodlands / Spring / North Houston Mixer will be on Wednesday, April 12th at the brand-new Kirby Ice House – Woodlands location on Lake Robbins Drive.  This small-group, informal event provides a great opportunity to visit with other IRO’s, members of the Houston NIRI Board, and to meet some of our chapter partners in an informal setting.  It would be fantastic to see many of our chapter members and guests from the Woodlands / Spring / North Houston areas.  Feel free to forward the event listing to friends, co-workers, and other corporate finance professionals; please register for the event at the following NIRI In Your Neighborhood – Woodlands / Spring / North Houston Mixer.

We plan to have our final programming event of the Spring on Wednesday, May 17th at The Houston Racquet Club on Memorial Drive near Voss Road that will focus on Best Practices for Long-Term Shareholder Engagement, which will be hosted and narrated by NASDAQ.  Long-time IRO Gary Clark from APA Corporation and members of the Shell USA IR team will lead our discussion. This is clearly a programming event you will not want to miss, seating will be limited, so please register at the following May Luncheon. We will post additional details concerning this event to our website over the coming weeks.

Looking into the Fall of 2023, we have scheduled our IRO Strategies for Success Summit for Thursday, September 14, 2023 that will take place at Murphy Oil’s Corporate Headquarters.  The Board has been working hard to put together a strong itinerary that will draw members of the investor relations, ESG, and corporate finance communities for education, networking and fellowship. We have posted a preliminary agenda to our website IRO Summit Agenda and plan to update it over the coming weeks as we secure additional panelists, moderators, and partners for the event.  If you are interested in participating in the IRO Summit, or have suggestions regarding potential panelists and/or partners we should reach out to, please reach out to me directly [email protected].

Finally, our chapter partner, Irwin, has published several interview-style podcasts with IRO’s and other IR stakeholders, which include our very own NIRI National President & CEO Matt Brusch.  Irwin’s Founder and COO, Mark Fasken, leads conversations focused on the most recent challenges, innovations, or perspectives pertaining to the ever-changing role of IR, all of which are designed to help IR professionals build a better investor relations program.  Please see the links below to access these podcasts or visit the following link Irwin’s Winning IR podcast. Additionally, we have posted links to informative articles and presentations from chapter partners Position Green (new ESG regulations originating in Europe that will affect US-based companies) and Alliance Advisors (shareholder activism in 2022 review).

My door is always open for comments, suggestions, and general feedback, so please feel free to reach out to me directly at [email protected].  On behalf of the Board of the Houston Chapter of NIRI, we appreciate your support and look forward to seeing you for our final programming events of the Spring.

Regards,

Daniel Jenkins
President – NIRI Houston Chapter

Come July 2023, the European Commission will broaden sustainability disclosure requirements for 50,000 companies, including US-based firms with EU operations. The Corporate Sustainability Reporting Directive (CSRD) will require companies to disclose information through an encompassing 'double materiality' lens as opposed to the ‘investor materiality’ lens in the SEC climate-disclosure proposal. The CSRD will mandate companies to comply with the EU Taxonomy, ESRS drafts, and rigorous traceability through digital tagging with limited assurance.
