In recent years, activist hedge funds have been very successful in using the threat of a proxy fight as a means to push for a sale, board representation or structural changes at target companies. In 2015, there were 266 reported shareholder activism campaigns, including 104 proxy fights. This seminar will address the changing legal, financial and public relations strategies of shareholder activists, early warning systems, managing interactions with activist hedge funds, deciding when to negotiate and when to fight back, and advance preparation strategies.
