Non-GAAP Financial Measures: Effects of the SEC’s Evolving Views

How does the updated interpretive guidance on non-GAAP financial measures affect IR?

On May 17, 2016, the SEC staff updated its interpretive guidance on non-GAAP financial measures. The updated guidance provided clarifying examples in areas of frequent staff comment, including misleading non-GAAP presentations and non-GAAP measures with greater prominence than the comparable GAAP measures. No SEC rules have changed as a result of the updated staff guidance. However, the updated guidance provides examples of potentially misleading non-GAAP measures that could violate Regulation G.

Kerry Burke, a Partner with Covington & Burling, will be leading a discussion on the new interpretations by providing some examples that their firm has dealt with and what changes we, as IROs, can implement.

What should you expect to takeaway from this luncheon?
